• Use any automated system, including "robots," "spiders," or "scrapers," to access the Site without our written permission.
• Impersonate or attempt to impersonate Optimal Nexus, our employees, another user, or any other person or entity.
• Engage in any activity that could damage, disable, overburden, or impair the Site's infrastructure.

Violation of these prohibitions may result in immediate termination of your access to the Site and potential legal action.

Intellectual Property

All content on the Site, including text, graphics, logos, software, and documentation (the "Content"), is the property of Optimal Nexus or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Ownership

Optimal Nexus retains all rights, title, and interest in and to the Site and Content. You acknowledge that the Site contains proprietary information and materials protected by applicable intellectual property and other laws.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal or internal business purposes. This license does not include:

• The right to resell, redistribute, or create derivative works from the Content.
• The right to copy, reproduce, or download Content for commercial purposes.

Limitation of Liability

No Warranties

The Site and Content are provided "as is" and "as available" without warranties of any kind, either express or implied. Optimal Nexus disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Damages

To the fullest extent permitted by applicable law, Optimal Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

In no event shall our total liability to you for all damages exceed the amount paid by you, if any, for accessing the Site in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Optimal Nexus, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or violation of these Terms.

Governing Law and Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of England and Wales. You irrevocably consent to the jurisdiction and venue of such courts.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
